Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Gyanis Creator Studio platform at creator.gyanis.ai (the "Platform"), operated by Gyanis Technologies Pvt. Ltd. ("Gyanis", "we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

• You must be at least 18 years of age to use the Platform.
• You must have the legal capacity to enter into binding agreements in your jurisdiction of residence.
• Access to the Platform is by invitation only. You may only create an account if you have received a valid invitation from Gyanis. Invitations are non-transferable.
• You must provide accurate and complete information when setting up your account and keep your profile information up to date.

2. Account Creation and Security

• Upon receiving an invitation, you will be provided a secure link to set your password. Passwords must meet our minimum complexity requirements (12 characters, including uppercase, lowercase, number, and special character).
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately at creators@gyanis.ai if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts at our discretion.

3. Content Submission Rules

3.1 Originality and Licensing

• All YouTube videos you submit must be your original work, or you must hold a valid license or permission from the copyright holder to submit the content.
• You represent and warrant that your submissions do not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.
• You must comply with YouTube's Terms of Service and Community Guidelines for all content hosted on YouTube.

3.2 Content Standards

Submitted content must:

• Be educational in nature and appropriate for student audiences of all ages.
• Be accurate, well-structured, and aligned with the curriculum topics you select.
• Be free of hate speech, discrimination, harassment, or any form of harmful content.
• Not contain misleading, deceptive, or false information.
• Not include unauthorized advertisements or promotional material unrelated to the educational topic.
• Not contain sexually explicit material, graphic violence, or content promoting illegal activities.

3.3 Topic Mapping

• You are required to accurately map each video submission to the relevant board, grade, subject, unit, and topic within our taxonomy system.
• Intentional misclassification of content to gain broader visibility is a violation of these Terms and may result in account suspension.

4. Review Process

• All submitted videos undergo a review process by the Gyanis editorial team. Submissions may be approved, rejected, or returned with feedback for revision.
• Gyanis reserves the sole and absolute right to approve or reject any content submission for any reason, including but not limited to quality, accuracy, relevance, or alignment with our educational standards.
• Review timelines may vary. We aim to review submissions within 7 business days, but this is not guaranteed.
• Rejection does not entitle you to compensation, and Gyanis is not obligated to provide detailed reasons for rejection.

5. AI Enrichment and Metadata Generation

• Gyanis uses artificial intelligence to generate enrichment metadata for approved videos, including summaries, key concepts, difficulty assessments, and multi-curriculum mapping.
• AI-generated metadata is produced for the benefit of learners and may be displayed alongside your content on Gyanis products.
• You acknowledge that AI-generated content may occasionally contain inaccuracies. Our editorial team reviews AI outputs, and you may flag any concerns about metadata accuracy through the Platform.
• AI-generated metadata is the property of Gyanis. You do not acquire any rights over AI-generated content associated with your videos.

6. Intellectual Property

6.1 Your Content

• You retain full ownership of your original video content. Submitting content to Gyanis does not transfer ownership of your intellectual property.
• By submitting content, you grant Gyanis a non-exclusive, worldwide, royalty-free license to display, embed, distribute, and promote your approved videos on the Gyanis platform and its associated products (gyanis.ai and its subdomains), for the purpose of delivering educational content to learners.
• This license continues for as long as your content remains on the Gyanis platform. You may request removal of your content at any time (see Section 8).

6.2 Gyanis Property

• The Platform, its design, source code, logos, trademarks, AI models, enrichment data, taxonomy system, and all other non-user-content elements are the exclusive property of Gyanis Technologies Pvt. Ltd.
• You may not copy, modify, distribute, or create derivative works from any part of the Platform without our written permission.

7. Revenue Sharing

• Gyanis may offer a revenue-sharing program for eligible creators. Details, eligibility criteria, payment terms, and schedules will be communicated separately and may be subject to additional agreements.
• Revenue sharing is currently being developed and will be announced when available. Until a formal revenue-sharing agreement is in place, content submissions are made on a voluntary basis without monetary compensation.
• When revenue sharing is available, payments will be processed through the payment method you provide in your account settings. You are responsible for any applicable taxes on earnings received from Gyanis.

8. Content Removal

• You may request the removal of your content from the Gyanis platform at any time by contacting us at creators@gyanis.ai. We will process removal requests within 15 business days.
• Gyanis may remove your content at any time if it violates these Terms, our content standards, applicable laws, or if it is the subject of a valid intellectual property complaint.
• Removal of content from Gyanis does not affect the availability of your video on YouTube. Your content remains on YouTube subject to YouTube's own terms.

9. Account Suspension and Termination

• We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, submit infringing or harmful content, engage in fraudulent activity, or for any other reason at our sole discretion.
• Upon termination, your license to use the Platform ceases immediately. We may retain your data as necessary to comply with legal obligations, resolve disputes, and enforce our agreements.
• You may deactivate your account by contacting us at creators@gyanis.ai. Account data will be retained for 90 days before permanent deletion, unless a longer retention period is required by law.

10. Limitation of Liability

• The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Gyanis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or opportunities, arising out of or related to your use of the Platform.
• Our total aggregate liability for any claims arising out of or relating to these Terms or the Platform shall not exceed the amount paid by Gyanis to you (if any) in the 12 months preceding the claim.
• Gyanis is not responsible for the availability, accuracy, or content of YouTube videos or any third-party services integrated with the Platform.

11. Indemnification

You agree to indemnify, defend, and hold harmless Gyanis, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Platform; (b) your content submissions; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Modifications to Terms

Gyanis reserves the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Platform or sending an email to your registered address. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and deactivate your account.

13. Governing Law and Dispute Resolution

• These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.
• Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
• Before commencing any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gyanis regarding your use of the Platform and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter herein.
